  • Application means the software program provided by the Company downloaded by You on any electronic device, named EchoPad.
  • Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
  • Account means a unique account created for You to access our Service or parts of our Service.
  • Country refers to: California, United States.
  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Wabi Sabi Solutions LLC, 1968 S. Coast Hwy #107, Laguna Beach, CA 92651.
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
  • Free Trial refers to a limited period of time that may be free when purchasing a Subscription.
  • Promotions refer to contests, sweepstakes or other promotions offered through the Service.
  • Service refers to the Application or the Website or both.
  • Subscriptions refer to the services or access to the Service offered on a subscription basis by the Company to You.
  • Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third party that may be displayed, included or made available by the Service.
  • Website refers to EchoPad, accessible from https://echopad.com.
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Please read Our Privacy Policy carefully before using Our Service.

Subscriptions

Subscription Period

Some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring basis (daily, weekly, monthly, or annually), depending on the Subscription plan selected.

Subscriptions automatically renew unless canceled by You or the Company.

Subscription Cancellations

You may cancel Your Subscription renewal through Your Account settings or by contacting the Company. No refunds will be issued for fees already paid, and access will continue until the end of the current billing period.

Billing

You must provide accurate and complete billing information, including full name, address, telephone number, and valid payment details.

If automatic billing fails, the Company may issue an electronic invoice requiring manual payment.

Fee Changes

The Company may modify Subscription fees at any time. Fee changes take effect at the end of the current billing cycle with reasonable prior notice.

Refunds

Except where required by law, Subscription fees are non-refundable. Refund requests may be considered at the Company’s sole discretion.

Free Trial

The Company may offer a Free Trial at its discretion. Billing information may be required. Charges begin automatically at the end of the Free Trial unless canceled beforehand.

The Company may modify or cancel Free Trial offers at any time.

Promotions

Promotions may be governed by separate rules. If Promotion rules conflict with these Terms, the Promotion rules will apply.

User Accounts

You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your password and all activity under your account.

You must notify Us immediately of any unauthorized use or security breach.

Intellectual Property

The Service and its original content, features, and functionality are the exclusive property of the Company and its licensors and are protected by applicable laws.

Your Feedback to Us

You assign all rights in any Feedback You provide to the Company. If such assignment is ineffective, You grant the Company a perpetual, irrevocable, royalty-free license to use the Feedback without restriction.

Links to Other Websites

The Company is not responsible for third-party websites or services linked through the Service. Use them at Your own risk.

Termination

We may terminate or suspend Your Account immediately for any reason, including breach of these Terms.

Limitation of Liability

To the maximum extent permitted by law, the Company’s liability is limited to the amount paid by You or USD $100 if no purchase was made.

The Company is not liable for indirect, incidental, or consequential damages.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

Governing Law

These Terms are governed by the laws of California, United States.

Dispute Resolution

You agree to attempt to resolve disputes informally by contacting the Company first.

EU Users

EU consumers retain mandatory rights under local law.

U.S. Federal Government End Use

The Service is a “Commercial Item” as defined in 48 C.F.R. §2.101.

Legal Compliance

You represent that You are not subject to U.S. sanctions or restricted party lists.

Severability and Waiver

If any provision is unenforceable, the remaining provisions remain in effect.

Translation Interpretation

The English version of these Terms controls in the event of a dispute.

Changes to These Terms

We may update these Terms at any time with reasonable notice for material changes.
